1. General Description
Biz Liquidity, LLC. (d/b/a BuyHappier.com) is the sole Sponsor of the February 2012 Video Contest. By participating in the Contest, each participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions Biz Liquidity, LLC ("the Sponsor"), which shall be final and binding in all respects. At Sponsor’s sole discretion, videos may be posted on www.buyhappier.com, www.facebook.com, and/or any other internet site that Sponsor chooses, including specific Manufacturer sites and pages. Any or all submissions may or may not be posted by Sponsor.
- 2. Procedures
- a. Persons wishing to enter may submit as many different videos as they wish up until the contest deadline of 11:59 p.m. CST, March 31, 2012.
- b. Videos must be a minimum of 30 seconds and a maximum of 5 minutes in length.
- c. Videos must be in WebM, MPEG4, 3GPP, MOV, AVI, MPEGPS, WMV or FLV.
- d. Videos submitted without the accompanying entry form will not be judged or eligible for prizes.
- e. Submission of video assumes that all individuals featured or involved in its production agree to the Official Rules, including the posting of, or release of the video for any royalty-free use.
- f. All Entrants grant the Sponsor complete use of submissions and for the Sponsor to post on the internet or to be used in any manner, commercial or otherwise, in any and all media and/or technologies now known or hereafter devised throughout the universe in perpetuity.
- g. Sponsor reserves the right to edit and/or alter any submission in Sponsor's sole discretion.
- h. Sponsor's decisions regarding all Contest matters are final and non-appealable. All submissions are subject to the terms of these rules and all Entrants agree to be bound by these rules and Sponsor's decisions. Sponsor reserves the right in its sole discretion to amend these rules at any time and Sponsor will post the revised rules on BuyHappier.com.
- i. Sponsor is not responsible for Internet system and hardware failures; delayed, incomplete or unsuccessful transmission of video or other entry information; technical malfunctions of any kind; human error; information loss and downtime; or any costs, losses, liability or damages resulting from any such failures. In the event of any such technical difficulty, malfunction or error, Sponsor reserves the right, in its sole discretion, to take such actions as it deems appropriate in keeping with the fairness and integrity of the Contest, including without limitation a determination to take no action.
- 3. Eligibility
- a. Employees and immediate family members of Biz Liquidity, LLC or any affiliated companies as well as employees or immediate family members of any Manufacturer or Distributor of any products for sale at the time of the Contest on BuyHappier.com are not eligible to enter or win any prizes. “Immediate Family Members” shall mean any parent, step-parent, sibling, step-siblings, children, step-children, grandchildren, step-grandchildren, or spouses regardless of where they live.
- b. The contest is open only to legal residents of the 50 United Sates and D.C. Void where prohibited or restricted by law.
- c. Entrants must be 18 years of age or older at date of entry.
- d. Submission of a video constitutes the Entrant’s permission to use the video and the name, voice and likeness of the Entrant, as well as the Entrant’s representation that he/she has obtained all necessary permissions and approvals including that of legal guardians of any person under the age of 18 to use the video and the name, voice and likeness off all persons appearing in the video, and that all persons appearing in or heard in a video agree to grant Sponsor the posting and usage rights to the video and the right to use any such person’s name, voice and likeness in any manner, commercial or otherwise in any and all media whether now known or hereafter devised throughout the universe and in perpetuity, including, without limitation, for promotional or advertising purposes.
- e. Videos must have not been posted on an internet website prior to submission.
- f. By submitting a video, Entrants attest, among other things, to the fact that they are the rightful owner of the submitted video and that the video may be posted on any internet website and complete and total use transferred to Sponsor, without obtaining permission from or making any payment to any third party. Any submission containing third party content may be subject to disqualification.
- g. Each submission must be solely the original work of Entrant/Submitter.
- h. Each Entrant represents that his/her submission does not infringe on any third party’s copyrighted material trademark or other intellectual property rights, or privacy or publicity rights. Any videos found to be in violation will be disqualified from the Contest and will be removed from any and all postings on the internet.
- i. By submitting an entry, Entrant agrees to release, discharge, defend and hold harmless Biz Liquidity, LLC d/b/a BuyHappier.com, any affiliated companies, employees, owners and/or representatives from and against any claim, expense or liability arising from or related to submission, exhibition or exploitation of the entry, participation in this Contest and/or acceptance or use or misuse of any prize.
- j. Entrant acknowledges and agrees that his/her submission may or may not be posted on any internet site, regardless of winning or not winning a prize.
- k. Entrant agrees that his/her submission shall be governed by and construed under and in accordance with the laws of the United States and of the State of Illinois and agrees to the exclusive jurisdiction and venue of the federal and state courts of the State of Illinois, located in the County of Cook.
- l. Submission of a video assumes that Entrant and all individuals seen or heard in the video or are a part of the production of video agree to the YouTube Contest Platform Rules, Terms and Conditions of Use, Privacy, Cookie, and Security Provisions found at http://www.youtube.com/t/contest_platform_rules .
- m. YouTube is not a sponsor of the Contest and assumes no responsibility or liability regarding the conduct or administration of the Contest.
- 4. Judging Criteria
- a. Videos will be viewed and judged based on the creativity, uniqueness and humor.
- b. All decisions made by the Sponsor are final.
- 5. Prizes
- a. Winners will be notified via email within 14 days after deadline of submission.
- b. Prizes will be awarded to the person submitting the video within 30 days of end of contest.
- c. Winners of any prize are solely responsible for all federal, state and local taxes.
- 6. Contest Deadline
- a. Submission must be received on or before March 31, 2012 at 11:59 p.m. CST.
- 7. Releases
- a. By filling out and submitting the Entry Form along with the video submission, you agree to all of the Official Rules.
- b. Each and every submission must be accompanied by a separate Entry Form.
- c. Video submissions without the Entry Form will not be considered and are immediately disqualified.
